1.1 These Terms of Service ("Terms") govern your use of the FillSizer web application and related services (the "Service"), operated by EDSN Ltd, a company registered in England and Wales, Company No. 14709199, registered office at 13 Freeland Park, Wareham Road, Poole, Dorset, BH16 6FA, United Kingdom ("EDSN", "we", "us", "our").
1.2 These Terms cover both free trial use and paid use (subscriptions and Project Passes). By creating an account, starting a purchase, or using the Service, you agree to these Terms. When you create an account, and again when you start a purchase, we record the version of these Terms you accepted and the time of acceptance.
1.3 The technical disclaimers available in the application under Help > Important Notices & Disclaimers form part of these Terms.
1.4 If you do not agree to these Terms, do not use the Service.
3.1 The Service is sold to businesses and professionals only. By accepting these Terms you confirm that you are acting in the course of a business, trade, craft or profession, and not as a consumer.
3.2 Because this is a business-to-business contract, consumer protection rights that apply only to consumers (including consumer cancellation or "cooling-off" rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013) do not apply. Nothing in these Terms affects statutory rights that cannot lawfully be excluded in a business-to-business contract.
3.3 If you accept these Terms on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.
4.1 FillSizer is a cable containment sizing tool for qualified electrical building services engineers. It assists with containment sizing by importing cable schedules, placing equipment on PDF floorplans, routing cables through a graph-based model, and calculating containment fill, with optional advisory checks.
4.2 The Service provides optional advisory checks, not compliance verification. Its outputs (including containment sizes, fill percentages, weights, segment lengths, issue reports and exports) are advisory estimates derived from your inputs and catalogue data. They are not professional engineering advice, not a design certification, and not verification of compliance with BS 7671, BS 8519 or any other standard, code or regulation.
4.3 The Service answers whether cables physically fit on containment. It does not assess cable current-carrying capacity, grouping or derating adequacy, and it never provides cable-rating verdicts.
4.4 You remain the responsible engineer. A competent professional must independently verify every output before it is used in any design, specification, procurement, installation or safety-related decision. You acknowledge that you (or persons you supervise or are supervised by) have the professional competence to perform that verification.
4.5 Catalogue and cable data in the Service is transcribed from manufacturer and reference sources at a point in time and may contain errors or outdated values. Verify dimensions, safe working loads and cable data against current manufacturer documentation for the specific products used.
5.1 New accounts start on a free trial. The trial lasts 30 days from account creation AND is limited to one concurrent project. No payment card is required.
5.2 When the trial expires, a short grace window of approximately 15 minutes applies during which you can still complete or undo in-progress work. After that the account becomes read-only: you keep access to your existing data and can export it, but cannot create or modify work until a paid plan is active.
5.3 The free trial is offered once per person and organisation. A returning email address that deleted its account is not eligible for a fresh free trial within 90 days; we retain a hashed record of deleted-account email addresses for 90 days solely to detect repeat trials, as described in the Privacy Policy. Creating multiple accounts to obtain repeated free trials is a breach of these Terms.

6.2 Prices are displayed in the Service and on the FillSizer website in pounds sterling (GBP) before you buy. The price shown at checkout is the price you pay for that Order.
6.3 VAT. EDSN Ltd is not registered for VAT at launch, so prices are not subject to VAT and no VAT is added at checkout. Prices are stated exclusive of VAT. If EDSN Ltd becomes VAT registered, we will give you notice and VAT will be added to subsequent charges at the applicable rate from the date registration takes effect.
6.4 Price changes. We may change prices. For Subscriptions, a price change takes effect no earlier than your next renewal, and we will give you at least 30 days' notice before a renewal at a changed price. If you do not accept the new price, cancel before the renewal per clause 9. Price changes never apply retroactively to a period you have already paid for.
7.1 A Project Pass entitles one user to work on one designated project for 90 days from activation.
7.2 Only one Project Pass can be active for your Organisation at a time. You may extend the active Pass; an extension adds 90 days running from the later of the purchase date and the Pass's current expiry date.
7.3 A Project Pass that has been revoked following a refund or payment dispute cannot be extended and carries no entitlement.
7.4 When a Project Pass expires and no other paid plan is active, the account becomes read-only per clause 10.4.
8.1 Payments are processed by Stripe. We do not store your full card details. Stripe's own terms and privacy policy apply to the payment process.
8.2 Access is granted only on confirmed payment. Entitlements activate when Stripe confirms the payment as paid. If a checkout is started but payment is not confirmed, no entitlement is granted.
8.3 Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) until cancelled.
8.4 Failed renewal payments. If a renewal payment fails, Stripe retries payment over a grace period of up to 14 days during which your access continues. If payment still fails, your account becomes read-only until payment succeeds or a new plan is purchased.
8.5 Refund and dispute reversal. If a payment is refunded, or you raise a card dispute or chargeback that removes the payment, the corresponding entitlement is revoked. Access purchased with that payment ends. A revoked entitlement is not reinstated by retrying the same checkout.
8.6 You can manage your Subscription (including payment method and cancellation) through the customer portal available from the billing page.
9.1 Cancelling a Subscription. You may cancel at any time, effective at the end of the current billing period. After cancellation your Subscription remains active, and the Service shows it as scheduled to end, until the end of the period you have paid for; it then does not renew. Once a subscription is cancelled and ends, it is not reactivated; continuing later requires a new purchase.
9.2 No partial refunds by default. Except where clause 9.3 or 9.4 applies, fees are non-refundable and no pro-rata refund is given for the unused part of a billing period or Project Pass. This is our default commercial position for business customers.
9.3 Mandatory refunds. We will refund where the law requires it, including where we have failed to provide the Service with reasonable care and skill and a refund is the appropriate legal remedy. Your statutory rights as a business customer are not affected by clause 9.2.
9.4 Goodwill refunds. We may, entirely at our discretion, offer a full or partial refund in other circumstances (for example, an accidental duplicate purchase reported promptly). A goodwill refund in one case does not oblige us to offer one in another.
9.5 Disputes and chargebacks. Contact us at [email protected] before raising a card dispute; most billing issues are resolved faster that way. If a dispute or chargeback removes a payment, the related entitlement is revoked per clause 8.5. We may contest disputes we consider unfounded and may decline future orders from a customer who has raised an unfounded dispute.
9.6 Requesting deletion of your account schedules any active Subscription to cancel at the end of its current period. If you withdraw the deletion request in time, the scheduled cancellation is reversed where possible.
10.1 These Terms apply from the moment you create an account and continue until your account is deleted or your access is terminated under this clause.
10.2 Termination by you. You may stop using the Service, cancel per clause 9, and request account deletion at any time.
10.3 Termination or suspension by us. We may suspend or terminate your access if you materially breach these Terms (including non-payment, acceptable-use breaches under clause 11, or circumvention of trial limits). Where the breach is remediable, we will normally give you notice and a reasonable opportunity to remedy it before terminating; we may suspend immediately where reasonably necessary to protect the Service, other customers or ourselves.
10.4 On expiry of your paid plan without renewal, your account becomes read-only: your data remains accessible and exportable, but you cannot create or modify work.
10.5 Clauses 4, 12, 13, 14, 15, 16 and 19 survive termination.

12.1 You retain ownership of Your Data, including cable schedules, floorplans, project configurations and calculation results. We claim no ownership of it.
12.2 You grant us a limited licence to host, process and display Your Data solely to provide the Service, comply with law, and as described in the Privacy Policy.
12.3 You are responsible for having the rights to upload Your Data (including drawings and schedules belonging to your clients) and for its accuracy. The Service's outputs depend on the inputs you provide.
12.4 Export. You can export Your Data at any time using the data export feature in your account settings, including while your account is read-only.
12.5 Deletion. You can request deletion of your account and associated data. Deletion takes effect after a grace period stated in the Service during which you can still download your data or cancel the request. After deletion, we retain only what the Privacy Policy says we retain (including the 90-day hashed email record described in clause 5.3).
13.1 We process personal data as described in the published FillSizer Privacy Policy, which explains what we collect, why, how long we keep it, and your rights. The Privacy Policy is a separate document and is not restated here; in the event of a conflict about personal data handling, the Privacy Policy governs personal data matters.
14.1 The Service, including its software, design, catalogue compilation, documentation and branding, is and remains the intellectual property of EDSN Ltd or its licensors.
14.2 We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes for the duration of your trial or paid plan, subject to these Terms. No other rights are granted.
14.3 Reports and exports you generate from Your Data are yours to use in your business, subject to clause 4 (they remain advisory estimates requiring professional verification).
14.4 If you give us feedback or suggestions, we may use them to improve the Service without obligation to you.
15.1 We provide the Service with reasonable skill and care, but we do not offer a service level agreement (SLA). We use reasonable endeavours to keep the Service available and do not guarantee uninterrupted or error-free operation.
15.2 We may carry out maintenance, including updates and infrastructure work, which can cause temporary unavailability. Where practicable, we will schedule disruptive maintenance outside normal UK business hours or give notice in the Service.
15.3 Support is provided by email at [email protected] during normal UK business hours on a reasonable-endeavours basis.
15.4 We may improve, modify or update the Service's features over time. We will not materially reduce the core functionality you have paid for during a paid-up period without offering a remedy (such as a pro-rata refund of the affected period).
16.1 Nothing excluded that cannot be excluded. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.
16.2 Cap. Subject to clause 16.1, our total aggregate liability arising out of or in connection with the Service and these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you actually paid to us for the Service in the 12 months immediately preceding the event giving rise to the claim.
16.3 Excluded losses. Subject to clause 16.1, we are not liable for any indirect or consequential loss, loss of profit, loss of revenue, loss of contracts or business opportunity, loss of anticipated savings, loss of or corruption to data, cost of re-work or re-design, procurement or construction cost overruns, or business interruption, even if advised of the possibility.
16.4 Professional responsibility. You are a professional or business user of an advisory tool. Subject to clause 16.1, we are not liable for any loss arising from reliance on the Service's outputs without the independent professional verification these Terms require, or from inaccurate, incomplete or miscalibrated inputs you supply (including drawing scale calibration and imported schedule data). Design responsibility, standards compliance and site verification remain yours at all times.
16.5 The allocation of risk in this clause 16 reflects the nature of the Service as an advisory estimation aid priced accordingly, the professional competence of its users, and the requirement of independent verification, and both parties agree it is reasonable.
17.1 You will indemnify EDSN Ltd and its directors, officers and employees against claims, damages, losses, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) Your Data infringing a third party's rights; or (c) a third-party claim arising from a design, specification or installation decision made using the Service's outputs without the independent professional verification these Terms require.
18.1 We may update these Terms. Material changes will be notified in the Service or by email at least 14 days before they take effect. Each version carries a version identifier shown on the published Terms page.
18.2 Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms; the Service records the version you accepted and when. If you do not accept a material change, cancel per clause 9 before it takes effect; if the change materially disadvantages you mid-period, you may terminate and we will refund the unused part of that pre-paid period pro-rata.
19.1 Governing law and jurisdiction. These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes), are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
19.2 Entire agreement. These Terms, together with the Privacy Policy and the in-app technical disclaimers (Help > Important Notices & Disclaimers), constitute the entire agreement between you and EDSN Ltd regarding the Service and supersede all prior discussions and representations, except that nothing limits liability for fraudulent misrepresentation.
19.3 Severability. If a provision is held unenforceable, it will be modified to the minimum extent necessary to be enforceable or, failing that, severed; the rest of the Terms remain in force.
19.4 No waiver. A failure to enforce a provision is not a waiver of it.
19.5 Assignment. You may not assign these Terms without our written consent. We may assign them as part of a sale or reorganisation of our business, with notice to you.
19.6 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for your obligation to pay fees due.
19.7 Notices. Notices to us go to [email protected] or the registered office in clause 1.1. Notices to you go to the email address on your account.
